Welcome to Soul22.

These Terms of Service (“Terms”) govern your access to and use of the Soul22 platform, website, mobile application, community spaces, experiences, communications, and related services (collectively, the “Services”) operated by Soul22 LLC (“Soul22,” “we,” “our,” or “us”).

By accessing or using the Services, you agree to be bound by these Terms and our Community Standards. If you do not agree to these Terms, you may not access or use the Services.

1. Our Mission

Soul22 is a travel-based wellness and community platform designed to support personal growth, emotional wellbeing, meaningful connection, and transformative experiences through intentional solo travel.

Soul22 is not a medical provider, mental health treatment center, crisis intervention service, or emergency service.

2. Eligibility

To use the Services, you must:

  • Be at least 30 years old;

  • Have the legal capacity to enter into a binding agreement;

  • Provide accurate and truthful information;

  • Comply with all applicable laws and regulations;

  • Successfully complete any onboarding, verification, or screening requirements requested by Soul22.

We reserve the right to refuse access, suspend accounts, or remove members at our discretion in order to protect the integrity and safety of the community.

3. Community Membership & Verification

Soul22 is a private, curated membership community and reserves the right to approve, deny, suspend, restrict, or terminate membership access at its sole discretion, with or without notice or explanation.

Soul22 is a curated community. Access may require:

  • Identity verification;

  • Government-issued identification;

  • Phone and email verification;

  • Background screening where permitted by law;

  • Application review;

  • Ongoing compliance reviews;

  • Behavioral or trust-based monitoring;

  • Additional verification measures deemed necessary for community safety.

By using the Services, you consent to these verification processes and acknowledge that approval is not guaranteed.

You further acknowledge and agree that any verification, screening, identity review, reference check, or background check conducted by Soul22 is limited in scope and timing and does not guarantee the identity, intentions, character, mental state, legality, safety, or future conduct of any member or participant.

Soul22 does not independently verify every statement made by users and cannot guarantee that any information provided by members is accurate, complete, or current.

You agree to provide truthful, current, and complete information at all times.

Any attempt to impersonate another individual, falsify identity information, bypass verification systems, or manipulate trust and safety processes may result in immediate removal from the platform.

4. Community Standards & Member Conduct

Soul22 is built on emotional maturity, integrity, safety, respect, and meaningful human connection.

By participating in the Services, you agree to uphold the following standards.

4.1 Respect & Safety

You agree not to:

  • Harass, intimidate, threaten, stalk, or abuse any individual;

  • Engage in discrimination, hate speech, or degrading conduct;

  • Violate another person’s privacy, boundaries, or consent;

  • Use the platform for exploitation, coercion, manipulation, or predatory behavior;

  • Share explicit, violent, or harmful content;

  • Engage in bullying, shaming, or public humiliation;

  • Use Soul22 for unlawful activity.

4.2 Honest Participation

You agree not to:

  • Misrepresent your identity, intentions, affiliations, or background;

  • Create fake accounts or deceptive profiles;

  • Catfish or impersonate another person;

  • Circumvent platform safeguards or verification systems;

  • Manipulate or misuse community trust.

4.3 Wellness & Emotional Responsibility

Soul22 encourages intentional and respectful engagement.

Members are expected to:

  • Respect emotional boundaries;

  • Communicate honestly and responsibly;

  • Engage with maturity and accountability;

  • Avoid exploitative emotional dynamics;

  • Respect cultural, personal, and spiritual differences.

4.4 Travel & In-Person Interactions

Members are solely responsible for their own decisions, travel arrangements, accommodations, transportation choices, safety precautions, destinations, and in-person interactions.

Members remain solely responsible for evaluating risks and making independent decisions regarding whether to communicate, meet, travel with, host, accompany, or otherwise engage with any other member, traveler, participant, vendor, or third party online or in person.

Soul22 does not guarantee and expressly disclaims any duty to monitor, supervise, investigate, control, or ensure the safety, conduct, identity, intentions, mental state, legality, or actions of any member, traveler, participant, vendor, guide, host, or third party.

Soul22 does not guarantee:

  • Compatibility between members;

  • The conduct of other members;

  • Safety during travel or in-person meetings;

  • Outcomes from introductions, experiences, or recommendations.

Members should exercise independent judgment and personal safety precautions at all times.

4.5 Relationship Boundaries & Non-Dating Platform Policy

Soul22 is not a dating service, matchmaking service, escort service, or romantic facilitation platform.

The Services are intended for wellness-oriented community, personal growth, travel connection, and meaningful human interaction outside the scope of romantic or sexual facilitation.

While personal relationships may naturally develop between individuals, Soul22 does not:

  • Arrange romantic matches;

  • Encourage romantic or sexual interactions;

  • Screen members for romantic compatibility;

  • Verify relationship intentions;

  • Assume responsibility for interpersonal or romantic outcomes.

Any personal, romantic, emotional, intimate, or sexual relationships formed between members are undertaken solely at the individuals’ own discretion and risk and remain entirely outside the scope of the Services.

Members are solely responsible for maintaining appropriate boundaries, exercising personal judgment, and ensuring all interactions are consensual, respectful, lawful, and safe.

Soul22 shall not be liable for disputes, emotional harm, misconduct, exploitation, assault, coercion, relationship conflicts, or damages arising from personal or romantic interactions between members.

Members may not use the Services for dating solicitation, sexual solicitation, escorting, transactional relationships, predatory behavior, or exploitative conduct.

5. Zero-Tolerance Violations

The following may result in immediate suspension or permanent removal from the Services:

  • Persistent unwanted contact or harassment;

  • Promotion of suicide or self-harm;

  • Promotion of harm or violence;

  • Bullying;

  • Explicit or inappropriate sexual content;

  • Hate speech;

  • Spam or commercial promotion;

  • Presenting a fake or stolen identity;

  • Romance or friendship scams;

  • Advance-fee or travel scams; 

  • Sharing phishing, malware, or misleading links;

  • Criminal activity.

Soul22 reserves the right to report unlawful conduct to law enforcement authorities where appropriate.

6. Reporting & Enforcement

Members may report violations of these Terms or Community Standards through available support or reporting channels.

Soul22 may investigate complaints and take action including:

  • Warnings;

  • Temporary suspensions;

  • Permanent account removal;

  • Restriction of platform features;

  • Removal of content;

  • Referral to legal authorities where required.

We reserve sole discretion in determining violations and enforcement actions.

7. User Content

You retain ownership of content you submit, post, upload, transmit, or share through the Services (“User Content”).

By submitting User Content, you grant Soul22 a worldwide, non-exclusive, royalty-free license to host, use, reproduce, display, modify, distribute, and process such content solely for the operation, improvement, promotion, and administration of the Services.

You represent and warrant that:

  • You own or have the necessary rights to your User Content;

  • Your content does not violate any law or third-party rights;

  • Your content complies with these Terms and Community Standards.

We reserve the right to remove content that violates these Terms or is otherwise inconsistent with the Soul22 community experience.

8. Privacy & Confidentiality

Your use of the Services is also governed by the Soul22 Privacy Policy.

Members acknowledge that community spaces may involve personal, emotional, or sensitive conversations. You agree to respect the confidentiality and privacy of other members and not disclose private information shared within the community without explicit consent.

Soul22 cannot guarantee absolute confidentiality of user communications.

9. Wellness Disclaimer

Soul22 provides wellness-oriented experiences, community support, educational content, and travel-related resources.

Use of the Services does not create any therapist-client, doctor-patient, counseling, coaching, fiduciary, advisory, or professional relationship between you and Soul22 or any representative of Soul22.

We do not provide:

  • Medical advice;

  • Mental health diagnosis;

  • Therapy or psychiatric treatment;

  • Crisis intervention;

  • Emergency services;

  • Legal or financial advice.

Any wellness, mindfulness, spiritual, emotional, or neuroscience-informed content is provided for informational and experiential purposes only.

You should consult qualified professionals regarding medical, mental health, or other professional concerns.

If you are experiencing a medical or mental health emergency, contact emergency services immediately.

10. Assumption of Risk

You understand and acknowledge that travel, social interaction, wellness activities, and participation in community experiences involve inherent risks.

These risks may include:

  • Physical injury;

  • Serious bodily harm;

  • Illness;

  • Emotional distress;

  • Theft or property loss;

  • Accidents;

  • Interpersonal disputes;

  • Travel disruptions;

  • Exposure to unsafe conditions;

  • Assault;

  • Kidnapping;

  • Abduction;

  • Disappearance;

  • Death.

You acknowledge that Soul22 does not supervise or control the actions of members, travelers, third parties, hosts, guides, vendors, or external participants.

You voluntarily assume all risks associated with participation in the Services and any in-person experiences.

International travel may involve heightened risks including political instability, crime, terrorism, civil unrest, transportation failures, health risks, communicable disease exposure, natural disasters, differing legal systems, limited medical access, and reduced legal protections.

You acknowledge that Soul22 does not supervise or control travel conditions, destinations, accommodations, transportation providers, local operators, or third-party environments.

11. Release of Liability

To the maximum extent permitted by law, Soul22, its affiliates, officers, employees, contractors, partners, and representatives shall not be liable for:

  • Indirect or consequential damages;

  • Emotional distress;

  • Personal injury;

  • Serious bodily injury;

  • Travel disruptions;

  • Member disputes;

  • Loss of profits or data;

  • Damages arising from user conduct;

  • Assaults or criminal acts by third parties or members;

  • Kidnapping;

  • Abduction;

  • Disappearance;

  • Death;

  • Incidents occurring during travel or in-person interactions.

You expressly acknowledge and agree that participation in travel, wellness, social, or community-related activities is undertaken entirely at your own risk.

Soul22 is not responsible for the personal safety, actions, behavior, decisions, travel conduct, or criminal acts of any member, third party, or participant.

Your use of the Services is entirely voluntary and at your own risk.

12. Indemnification

You agree to indemnify, defend, and hold harmless Soul22 and its affiliates, officers, employees, contractors, and partners from any claims, liabilities, damages, losses, costs, or expenses arising from:

  • Your use of the Services;

  • Your violation of these Terms;

  • Your violation of applicable laws;

  • Your interactions with other users;

  • Your User Content.

13. Intellectual Property

All Soul22 branding, designs, text, graphics, logos, software, content, and platform materials are owned by or licensed to Soul22 and protected by intellectual property laws.

You may not:

  • Copy or reproduce platform materials;

  • Use Soul22 branding without permission;

  • Reverse engineer the platform;

  • Sell or commercially exploit the Services;

  • Create derivative works based on Soul22 materials.

All rights reserved.

14. Third-Party Services

The Services may contain links, recommendations, integrations, or referrals to third-party providers, wellness partners, travel operators, or external websites.

Soul22 does not control or endorse third-party services and is not responsible for their conduct, content, policies, availability, or safety.

Your interactions with third parties are solely between you and those providers.

15. Subscription, Payments & Refunds

All purchases, memberships, subscriptions, bookings, deposits, experiences, and fees are final.

Soul22 maintains a strict no-refund policy except where non-waivable rights are required by applicable law.

Certain Services may require payment, subscription fees, memberships, deposits, or purchases.

By making a purchase, you agree:

  • To provide accurate payment information;

  • To authorize charges associated with your purchases;

  • That all purchases, memberships, subscriptions, deposits, bookings, and fees are final and non-refundable unless otherwise required by applicable law.

Soul22 maintains a strict no-refund policy.

Soul22 reserves the right to modify pricing, memberships, or paid offerings at any time.

Additional refund or cancellation policies may apply to specific experiences or events.

16. Account Suspension & Termination

Soul22 reserves the right to suspend, restrict, deny, limit, or terminate access to the Services at any time, with or without notice, explanation, or liability.

Soul22 may suspend, restrict, or terminate your account at any time, with or without notice, if:

  • You violate these Terms or Community Standards;

  • Your conduct creates risk to the community;

  • We reasonably believe you engaged in fraudulent, harmful, or unlawful behavior;

  • Continued access is inconsistent with the Soul22 experience or safety standards.

You may discontinue use of the Services at any time.

Sections intended by their nature to survive termination shall survive.

17. Disclaimers

Soul22 does not guarantee member compatibility, emotional outcomes, healing outcomes, wellness outcomes, safety outcomes, travel outcomes, personal transformation, relationship outcomes, or the behavior of any individual.

Soul22 is a technology and community platform only and is not a travel agency, insurer, security provider, medical provider, mental health provider, transportation provider, or guarantor of member conduct.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

SOUL22 DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, SECURITY, AND ACCURACY.

We do not guarantee uninterrupted access, error-free operation, compatibility, or specific outcomes from use of the Services.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOUL22’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:

  • THE AMOUNT YOU PAID TO SOUL22 IN THE PREVIOUS TWELVE (12) MONTHS; OR

  • ONE HUNDRED U.S. DOLLARS ($100).

SOME JURISDICTIONS MAY NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME LIMITATIONS MAY NOT APPLY TO YOU.

19. Electronic Consent & Signature

By creating an account, accessing the Services, checking any acceptance box, clicking “I Agree,” or otherwise electronically consenting to these Terms, you agree that such actions constitute your legal electronic signature and create a legally binding agreement.

You consent to receive notices, disclosures, agreements, and records electronically.

20. Force Majeure

Soul22 shall not be liable for any delay, interruption, cancellation, failure, damage, or inability to perform resulting from events beyond its reasonable control, including but not limited to:

  • Natural disasters;

  • Weather events;

  • Pandemics or public health emergencies;

  • Government actions or restrictions;

  • War or terrorism;

  • Civil unrest;

  • Transportation disruptions;

  • Utility or technology failures;

  • Labor disputes;

  • Acts of God.

21. Governing Law

These Terms shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles.

22. Dispute Resolution

Any dispute arising out of or relating to these Terms, the Services, memberships, travel experiences, or interactions between a customer and Soul22 shall first be attempted to be resolved informally between the customer and Soul22.

If unresolved, disputes shall be resolved exclusively through confidential and binding arbitration in the State of California, except where prohibited by law.

You waive any right to participate in class actions, class-wide arbitration, or jury trials.

23. Modifications to the Terms

Soul22 may update or modify these Terms at any time.

Updated Terms become effective upon posting unless otherwise stated.

Your continued use of the Services after updates constitutes acceptance of the revised Terms.

24. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

25. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and Soul22 regarding the Services.

27. Separate Waivers & Event Agreements

Soul22 reserves the right to require additional waivers, releases, medical acknowledgements, travel agreements, participation agreements, or assumption-of-risk documents before allowing participation in specific experiences, events, retreats, meetups, travel activities, or community functions.

Failure to sign required documents may result in denial of participation without refund.

28. Intellectual Property & Community Protection

Members may not:

  • Scrape, harvest, or collect member information;

  • Reproduce or commercially exploit Soul22 experiences, itineraries, materials, or systems;

  • Share private community content externally without permission;

  • Copy, imitate, or replicate Soul22 branding, concepts, curation methods, or proprietary materials;

  • Use the platform to solicit members for competing businesses, communities, or services.

Soul22 reserves all rights related to its proprietary systems, branding, experiences, and community structures.

Community Values Statement

Soul22 exists to cultivate meaningful human experiences rooted in safety, presence, emotional integrity, curiosity, healing, and respectful connection.

We believe transformation happens through intentional movement, grounded community, and conscious engagement with the unfamiliar.

Membership in Soul22 is a privilege, not a guarantee. We reserve the right to protect the integrity, emotional safety, and standards of the community at all times.
